Japan General Counsel team is seeking a full time Japanese law qualified lawyer responsible for providing legal advice and support to a wide variety of Japan Businesses, in particular to the Japan Investment Banking and Capital Markets (IBCM) Division.
providing legal advice as well as prepare and maintain necessary documentation in support of all aspects of the IBCM Division : M&A / financial advisory, corporate loans (syndicated, structured, mortgage / share backed or otherwise), and equity / debt capital markets transactions (including self-investments in MSCBs / MSWarrants)
providing legal advice to other businesses as necessary (Equities, Solutions, Asset Management, Private Banking) with and under the supervision of the relevant senior in-house lawyers on any and all legal, transactional and / or regulatory matters / issues, including the negotiation, review or drafting of the relevant agreements, presentation / marketing materials, etc.
providing legal support for Corporate Secretarial matters.
reviewing and providing legal advice on various type of documentation, including but not limited to transactional agreements, vendor agreements, etc.
providing legal advice on queries from other jurisdictions relating to Japanese law or regulation
managing and taking the lead of internal investigations on incidents / client disputes, and handling client complaints / disputes / litigations strategically with or without external counsel
providing administrative and organizational support in relation to all of the above areas
assisting with execution of legal documents and maintaining records and files
contributing legal input to business-led projects
managing the engagement and retention of external counsel, to ensure quality and efficiency of legal services
working closely with Front Office, Compliance and other departments
working closely with GC in APAC and other jurisdictions
following up and liaising with internal and external clients, and external counsel on queries in a timely and professional manner

Your skills and experience
Japanese law qualified, with 6+ years experience in a reputable Japanese law firm or a financial institution. Experience in working in an international organization preferred.
Experienced in dealing with transactions related to Investment Banking (such as M&A, equity / debt capital markets transactions)
The candidate will be expected to demonstrate a strong knowledge of the relevant legal and regulatory framework mixed with excellent legal interpretation skills and exercise of judgment.
Experienced in the adaption and interpretation of Japanese laws and regulations into practical day-to-day business practices in support of the overall business aims.
Native level Japanese language ability, both orally and in writing. Ability to draft and comment on Japanese language legal documentation a necessity.
Business level English language ability, capable to draft and comment in English.
A proactive learner and teammate, able to provide practical solutions. A strong drive to carry matters through to a successful completion with internal clients and stakeholders and who is a true team-player who likes to share knowledge and has a willingness to learn.
Strong academics and a keen attitude and can-do mindset.
Ability to identify, assess and summarize legal, regulatory, commercial and operational risks
Good communication skills : The candidate should be able to interact professionally with all levels of the organization forming effective networks to ensure seamless communication both within GC and with colleagues in the business.
